How the prepaid wallet works: what wallet credit is and isn't, when a service counts as delivered, what happens on renewal, and the consequences of payment disputes.

1. Agreement to these terms

These Terms of Service (the “Terms”) govern your access to and use of the GoodInboxes website, dashboard, and services (collectively, the “Service”) provided by [TODO: legal entity name], a company registered at [TODO: registered business address] (“GoodInboxes,” “we,” “us”). By creating an account, adding funds to a wallet, or purchasing inboxes or domains, you agree to be bound by these Terms. If you are entering into these Terms on behalf of an organization, you represent that you have authority to bind that organization.

If you do not agree to these Terms, do not use the Service.

2. The service we provide

GoodInboxes provisions pre-warmed Google Workspace inboxes on sending domains for use in email outreach. Depending on what you purchase, the Service may include:

  • Registration of a domain on your behalf, where you are the registrant and beneficial owner (see the Domain registration section below);
  • Configuration of DNS and email authentication for that domain, including SPF, DKIM, DMARC, and MX records;
  • Creation and licensing of Google Workspace mailboxes on the domain;
  • A warmup period (a 30-day warmup on pre-orders; marketplace bundles are delivered already warmed); and
  • Handoff of inbox credentials to your sending tools.

We provide the infrastructure. We do not send your outreach for you, write your messages, supply your recipient lists, or control how you use the inboxes once they are handed over. Responsibility for your outreach and its compliance is yours (see Acceptable use).

3. Accounts and eligibility

You must provide accurate account and billing information and keep it current. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us promptly at [TODO: confirm] support@goodinboxes.com if you suspect unauthorized access. You must be at least 18 years old and legally able to enter into these Terms.

4. Wallet billing, top-ups, and payment

The Service is billed through a prepaid wallet, not a card-on-file subscription. You add funds to your wallet (a “top-up”) through our payment processor, Stripe, and purchases and renewals draw down from that balance. Your card is charged when you top up, not at each checkout.

Warmed inboxes are priced at $19 per inbox at checkout. Pre-order domains are quoted separately at checkout at the live registrar price for the relevant TLD plus our margin. All prices are exclusive of any taxes that may apply, which are your responsibility unless stated otherwise.

5. Wallet credit

Funds you add to your GoodInboxes wallet (“wallet credit”) are a prepayment for digital services on the GoodInboxes platform. Wallet credit:

  • is non-refundable and has no cash value;
  • can be used only on the GoodInboxes platform, to purchase or renew inboxes, domains, and related services;
  • cannot be redeemed for, converted to, or withdrawn as money; and
  • is consumed immediately and irrevocably when it is applied to provision a service, because those services are delivered digitally and instantly.

By adding wallet credit you acknowledge that all sales of wallet credit are final and that no refunds (in cash or otherwise) will be issued, except where a refund is required by applicable law. Wallet credit is not a deposit account and does not earn interest.

6. Digital delivery and acceptance

GoodInboxes services — including warmed inboxes, domain registration and provisioning, DNS configuration, and inbox credentials — are delivered digitally. A service is delivered, rendered, and deemed accepted at the moment it is provisioned and the associated credentials or configuration are made available in your account.

You agree that making a service available in your account constitutes delivery and acceptance of that service, whether or not you subsequently log in or use it.

7. Consumed and unused credit

Wallet credit that has been consumed to provision services is not returnable, because the corresponding services have already been delivered. Domain registration fees in particular are final once a domain has been registered, as registration is final at the registry.

If we are unable to deliver a service you paid for — for example, if an order fails before provisioning starts — we return the affected amount to your wallet balance as credit.

Where GoodInboxes chooses, in its sole discretion and as a goodwill gesture, to return any wallet credit, such returns are limited to the unused, unconsumed wallet balance at the time of the request. Any discretionary return we choose to make does not create an obligation to make future ones. Nothing in this section limits rights you may have under mandatory consumer law in your jurisdiction.

8. What you agree to at checkout

Every wallet top-up requires you to actively confirm the wallet terms before payment, by ticking a checkbox that is never pre-checked. The acceptance reads:

“I understand wallet credit is non-refundable, has no cash value, and is usable only on GoodInboxes. Services are delivered digitally and are final once provisioned.”

We keep a record of each acceptance together with the top-up it applies to. The same policy applies to every top-up receipt and confirmation:

“Wallet credit is non-refundable and usable only on GoodInboxes. Services are delivered digitally and final once provisioned.”

9. Renewals, suspension, and de-licensing

Each inbox renews from your wallet on a recurring monthly basis at the then-current per-inbox renewal rate ($19 per inbox per month as of the date above). We send a renewal reminder in advance and attempt the charge against your wallet before the current period ends.

If your wallet balance cannot cover a renewal when it is due, the affected inbox will not be renewed: its Google Workspace license may be released and the mailbox suspended or de-provisioned. You can switch renewal off for any inbox at any time; it continues to work until the end of its current paid period and is then simply not renewed. Domain renewals, where applicable, are handled separately and are also drawn from your wallet.

10. Chargebacks and payment disputes

Contact us first. If you believe a charge is incorrect, you agree to contact GoodInboxes support at [TODO: confirm] support@goodinboxes.com before initiating a chargeback or payment dispute, so we can resolve it directly.

Because wallet credit is a non-refundable prepayment and services are delivered digitally upon provisioning, a chargeback filed for services that were delivered — or for credit that was consumed — is contrary to these Terms.

A chargeback or dispute filed against spent funds may result in the immediate suspension and de-licensing of any inboxes provisioned with those funds, forfeiture of the disputed wallet balance, and termination of your account. This reflects how the Service actually works: the underlying licenses and registrations are purchased with your funds, and a reversal removes the basis on which they are maintained. We reserve the right to recover amounts charged back and associated costs for services that were delivered.

11. Account holds during open disputes

GoodInboxes may suspend or restrict access to an account that is subject to an open payment dispute or a negative balance, and may withhold provisioning until the matter is resolved.

12. Acceptable use and anti-spam compliance

You are solely responsible for your outreach — your recipient lists, your message content, your sending volume, and your compliance with all applicable laws and mailbox-provider rules. As a condition of using the Service, you agree that you will:

  • Comply with all applicable anti-spam and data-protection laws, including the U.S. CAN-SPAM Act, the EU/UK GDPR, and any equivalent laws in the jurisdictions you send to;
  • Follow the sender requirements of Google, Yahoo, and Microsoft, including maintaining valid SPF, DKIM, and DMARC authentication, keeping spam-complaint rates below their published thresholds, and honoring one-click unsubscribe requests promptly;
  • Only email recipients you have a lawful basis to contact, provide a clear and functional way to opt out, and honor opt-outs;
  • Not use the Service to send unsolicited bulk email in violation of law, phishing, malware, fraudulent or deceptive content, or any content that is illegal, harassing, or infringing; and
  • Not resell, share, or transfer inbox access in violation of these Terms.

We may suspend or terminate inboxes, domains, or your account if your use threatens the deliverability, reputation, or standing of our infrastructure or that of other customers, or if it violates this section, our providers’ policies, or applicable law.

13. Domain registration terms

Where the Service registers a domain on your behalf, you are the registrant and beneficial owner of that domain. Registration is subject to the policies of ICANN, the relevant registry, and our upstream registrar, including the Registrant Rights and Responsibilities and the Uniform Domain-Name Dispute-Resolution Policy (UDRP). You agree to provide accurate registrant contact information and to keep it current; providing false information or failing to respond to registrar verification can result in suspension of the domain under ICANN rules.

You are responsible for ensuring your chosen domain name does not infringe the trademark or other rights of a third party. Domains must be renewed to remain active; a domain that is not renewed may be suspended, expire, and be released.

14. Third-party services

The Service depends on third parties including Google Workspace and the Google APIs, Stripe, Cloudflare, Supabase, and email and automation infrastructure. Your use of inboxes is also subject to Google’s applicable terms and acceptable-use policies. We are not responsible for outages, changes, suspensions, or actions taken by these third parties, including provider decisions to suspend or terminate an account or domain.

15. Disclaimers

The Service is provided “as is” and “as available” without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that any inbox will achieve any particular deliverability, inbox-placement, open, or reply rate; deliverability depends heavily on factors within your control, including your lists, content, and sending behavior. We do not guarantee that the Service will be uninterrupted, error-free, or secure.

16. Limitation of liability

To the maximum extent permitted by law, GoodInboxes and its officers, employees, and suppliers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, goodwill, or business, arising out of or related to your use of the Service. To the maximum extent permitted by law, our total aggregate liability for any claim arising out of or relating to the Service will not exceed the amounts you paid to us for the Service in the three (3) months preceding the event giving rise to the claim. Some jurisdictions do not allow certain of these limitations, so some may not apply to you.

17. Termination

You may stop using the Service and close your account at any time by contacting us or switching off renewals for your inboxes. We may suspend or terminate your access to the Service, in whole or in part, with or without notice, if you breach these Terms, if required by a provider or by law, or to protect the Service or other customers. On termination, your right to use the Service ceases; provisions that by their nature should survive (including billing for amounts owed, acceptable use, disclaimers, limitation of liability, and dispute terms) will survive.

18. Changes to these terms

We may update these Terms from time to time. When we make material changes, we will update the “last updated” date above and, where appropriate, notify you. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

19. Governing law and disputes

These Terms are governed by the laws of [TODO: governing-law jurisdiction], without regard to its conflict-of-laws rules, and the courts of [TODO: venue / jurisdiction] will have jurisdiction over any dispute, except where mandatory local law provides otherwise.
